Terms of Service

Provider: Global Software AI ("GSAI", "we", "us"), Lastadijas iela 18-1A, Riga, Latvia, LV-1050. Contact hello@globalsoftware.ai.

These Terms govern your access to and use of the GSAI Agent service. By creating an account, you accept them.

1. The Service

A managed AI assistant operating over Telegram and, with your authorisation, your Gmail and Google Calendar. €250/month plus VAT, billed monthly, with a 14-day free trial. The trial begins when your agent first responds to /start in Telegram. Your card on file is charged on the day the trial ends unless you have cancelled.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract under Latvian law.

3. Account

You are responsible for keeping your password secure. Notify security@globalsoftware.ai if you suspect unauthorised access.

4. Acceptable use

You agree not to:

• Send spam, harass others, or send unsolicited bulk messages.
• Violate applicable law (including data-protection and competition law).
• Infringe third-party rights.
• Reverse-engineer or extract underlying models.
• Probe or test our infrastructure without consent.
• Bypass any rate limit, quota, or authentication.
• Use the agent to send communications you would not be entitled to send yourself.

5. Connected services

You have the right to grant the agent access to the Google account and Telegram bot you connect. Your use of Telegram is also governed by Telegram's own terms. You set the autonomy preset; actions the agent takes within those parameters are taken on your behalf.

6. Fees, billing, and taxes

• €250/month plus VAT, billed monthly via Stripe.
• VAT calculated by Stripe Tax. B2B reverse-charge for valid VAT IDs.
• Payment retried over 7 days; 3 failed attempts cancels the subscription.
• No pro-rated refunds for mid-period cancellations.

7. Cancellation and refunds

Cancel any time from your dashboard or by email. Cancellation takes effect at the end of the current billing period. No refunds, except where required by law.

EU consumer right of withdrawal: the Service is digital content. By activating your agent and instructing it to perform any action, you expressly request that performance begins during the withdrawal period and you acknowledge that you lose your right of withdrawal in accordance with Art. 16(m) of Directive 2011/83/EU. The 14-day free trial is the evaluation period.

8. Suspension and termination

We may suspend or terminate for failure to pay, breach of Section 4, legal requirement, or your request.

9. Intellectual property

You retain rights to your content. You grant us a limited licence to process it to provide the Service. We retain rights to the Service itself.

10. Disclaimer of warranties

The Service is provided "as is". The agent uses LLMs that can make mistakes. Agent outputs are not legal, financial, medical, or other professional advice.

11. Limitation of liability

No liability for indirect or consequential damages. Total aggregate liability capped at amounts paid in the 12 months preceding the claim. Nothing limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence.

12. Indemnity

You indemnify us from third-party claims arising from your breach of these Terms or your misuse of the Service.

13. Governing law and jurisdiction

Latvian law applies. Exclusive jurisdiction: courts of Riga, Latvia, except where EU consumer protection law applies.

14. Changes

Material changes notified by email at least 14 days in advance. Continued use after that date constitutes acceptance.
